The content of this service refers to the application provided by Shenzhen Dingding Intelligent Information Technology Co., Ltd. to users (hereinafter referred to as "Dingding Intelligent"), which supports single or multiple participants.

2.2 【Format of this service】
2.2.1 To use this service, you need to download the Shenzhen Dingding Intelligent Information Technology Co., Ltd-Dingding Intelligent Client Software. For this software, Shenzhen Dingding Intelligent Information Technology Co., Ltd. grants you a personal and non-exclusive license for these software.
2.2.2 In this service, the Shenzhen Dingding Intelligent Information Technology Co., Ltd.-Dingding Intelligent Client Software provides multiple application versions including but not limited to iOS, Android, etc. Users must select the software version that matches the installed phone.

2.3 【Scope of this Service License】
2.3.1 Shenzhen Dingding Intelligent Information Technology Co., Ltd. grants you a personal, non-exclusive license to use this software. You may install, use, display and run this software on a single terminal device for non-commercial purposes.
2.3.2 You may make one copy of the Software for the purpose of using the Software and Services for backup purposes only. The backup copy must contain all copyright information contained in the original Software.
2.3.3 All other rights not expressly authorized in this clause and other clauses of this Agreement are reserved by Shenzhen Dingding Intelligent Information Technology Co., Ltd. You must obtain the written permission of Shenzhen Dingding Intelligent Information Technology Co., Ltd. when exercising these rights. If Shenzhen Dingding Intelligent Information Technology Co., Ltd. does not exercise any of the aforementioned rights, it does not constitute a waiver of such rights.

3.1 You can obtain this software directly from the website of Shenzhen Dingding Intelligent Information Technology Co., Ltd., or from a third party authorized by Shenzhen Dingding Intelligent Information Technology Co., Ltd.

3.2 If you obtain this software or an installation program with the same name as this software from a third party not authorized by Shenzhen Dingding Intelligent Information Technology Co., Ltd., Shenzhen Dingding Intelligent Information Technology Co., Ltd. Can’t guarantee that the software can be used normally and will not be responsible for any losses caused to you.

4.1 Shenzhen Dingding Intelligent Information Technology Co., Ltd. may develop different software versions for different terminal devices. You should choose to download the appropriate version for installation according to the actual situation.

4.2 After downloading the application, you need to follow the steps prompted by the application to install it correctly.

7.1 【Account Usage Guidelines】
7.1.1 You need to register an account before using this service. Shenzhen Ding Ding Smart Information Technology Co., Ltd. has the right to change the account registration and binding method according to user needs or product needs.7.1.2 The ownership of the account belongs to the registered user. After the user completes the application registration procedures, the user needs to keep the account and password properly. Shenzhen Ding Ding Smart Information Technology Co., Ltd. does not bear the consequences caused by the user's own leakage of information.
7.1.3 Users are responsible for properly keeping their registered account information and passwords safely, and they are legally responsible for the actions they take under their registered accounts and passwords. Users agree not to disclose their account and password information to others under any circumstances. If you suspect that someone else is using your account, you should immediately notify Shenzhen Ding Ding Intelligent Information Technology Co., Ltd.

7.2 【User Notes】
7.2.1 You understand and agree that: in order to provide you with effective services, this software will use the processor and bandwidth of your mobile communication terminal and other resources. The use of this software may generate data traffic fees. Users need to obtain relevant tariff information from the operator and bear the relevant fees.
7.2.2 Shenzhen Dingding Intelligent Information Technology Co., Ltd. is not responsible for the deletion or storage failure of your relevant data in this software and services;
7.2.3 Shenzhen Dingding Intelligent Information Technology Co., Ltd. has the right to determine the maximum storage period of data for a single user in this software and service according to actual conditions, and allocate the maximum data storage space for the user on the server.7.2.4When using this software and service, users must bear the following risks that are beyond the control of Shenzhen Dingding Intelligent Information Technology Co., Ltd., including but not limited to:
7.2.4.1 Risks of loss or leakage of personal information due to force majeure;
7.2.4.2 Users must select the software version that matches the installed mobile phone. Otherwise, any problems or damages caused by the mismatch between the software and the mobile phone model shall be borne by the user.
7.2.4.3 Risks such as failure to log into Shenzhen Dingding Intelligent Information Technology Co., Ltd.application, incomplete data synchronization, slow page opening speed, etc. caused by unstable wireless network signals, small wireless network bandwidth, etc.

7.3 【Third-party products and services】
7.3.1 When you use the products or services provided by a third party for this software, in addition to complying with the provisions of this Agreement, you must also comply with the third party's user agreement. Shenzhen Dingding Intelligent Information Technology Co., Ltd. and the third party shall each bear their respective responsibilities for any disputes that may arise within the scope of legal provisions and agreements.
7.3.2 When users use this software or require Shenzhen Digding Intelligent Information Technology Co., Ltd. to provide specific services, this software may call a third-party system or support the user's use or access through a third party. The results of the use or access are provided by the third party (including but not limited to the services provided by the third party through the Dingding Intelligent Public Account, or the content accessed through the open platform, etc.). Shenzhen Dingding Intelligent Information Technology Co., Ltd. does not guarantee the security, accuracy, effectiveness and other uncertain risks of the services and content provided by third parties. Any disputes and damages caused by this have nothing to do with Shenzhen Dingding Intelligent Information Technology Co., Ltd., and Shenzhen Dingding Intelligent Information Technology Co., Ltd. does not assume any responsibility.

8.1Unless permitted by law or with written permission from Shenzhen Dingding Intelligent Information Technology Co., Ltd., you may not engage in the following activities while using this software:
8.1.1 Delete the copyright information on the Software and its copies;
8.1.2 Reverse engineer, disassemble, or de-compile the Software, or attempt to discover the source code of the Software in other ways;
8.1.3 Use, rent, lend, copy, modify, link, reprint, compile, publish, or create a mirror site for the content owned by Shenzhen Dingding Intelligent Information Technology Co., Ltd.;
8.1.4 Copy, modify, add, delete, mount or create any derivative works of the Software or the data released to any terminal memory during the operation of the Software, the interactive data between the client and the server during the operation of the Software, and the system data necessary for the operation of the Software, including but not limited to the use of plug-ins, external plug-ins or third-party tools/services not authorized by Shenzhen Dingding Intelligent Information Technology Co., Ltd. to access the Software and related systems;
8.1.5 Modify or forge the instructions or data in the operation of the software, add, delete or change the functions or operation effects of the software, or operate or disseminate to the public the software or methods used for the above purposes, regardless of whether such actions are for commercial purposes;
8.1.6 Log in or use the software and services of Shenzhen Dingding Intelligent Information Technology Co., Ltd. through third-party software, plug-ins, plugins, or systems that are not developed or authorized by Shenzhen Dingding Intelligent Information Technology Co., Ltd., or produce, publish, or disseminate the above tools;
8.1.7 Interfere with the Software and its components, modules, or data by yourself or authorize others or third-party software to do so;
8.1.8 Other actions not expressly authorized by Shenzhen Dingding Intelligent Information Technology Co., Ltd.

8.2 【Service Operation Specifications】
Unless permitted by law or with written permission from Shenzhen Dingding Intelligent Information Technology Co., Ltd., you may not engage in the following conduct when using the Service:
8.2.1 Submitting or publishing false information, or impersonating or using the name of another person;
8.2.2 Induce other users to click on linked pages or share information;
8.2.3 Fabricating facts or concealing the truth to mislead or deceive others;
8.2.4 Infringement of others’ legal rights such as reputation, portrait rights, intellectual property rights, trade secrets, etc.;
8.2.5 Use the Dingding Smart Application account and any function, as well as the third-party operation platform for promotion or mutual promotion without the written permission of Shenzhen Ding Ding Smart Information Technology Co., Ltd.;
8.2.6 Use the Dingding Smart Application Account or the Software and Services to engage in any illegal or criminal activities;
8.2.7 Produce, publish methods or tools related to the above behaviors, or operate or disseminate such methods or tools, regardless of whether such behaviors are for commercial purposes;
8.2.8 Other acts that violate laws and regulations, infringe upon the legitimate rights and interests of other users, interfere with the normal operation of the product, or are not expressly authorized by Shenzhen Dingding Intelligent Information Technology Co., Ltd.

8.3 【Be responsible for your own actions】
You fully understand and agree that you must be responsible for all actions under your registered account. You should make your own judgment on the content in this service and bear all risks arising from the use of the content, including the risks arising from reliance on the accuracy, completeness or practicality of the content. Shenzhen Dingding Intelligent Information Technology Co., Ltd. can’t and will not be liable for any loss or damage caused by the aforementioned risks.

8.4 【Breach of Contract handling】
8.4.1 If Shenzhen Dingding Intelligent Information Technology Co., Ltd. discovers or receives reports or complaints from others that a user has violated the provisions of this Agreement, Shenzhen Dingding Intelligent Information Technology Co., Ltd. has the right to delete or block the relevant content at any time without notice, and impose penalties on the violating account, including but not limited to warnings, restrictions or prohibitions on the use of part or all functions, account bans or even cancellation, depending on the circumstances of the behavior, and announce the results of the handling.
8.4.2 You understand and agree that Shenzhen Dingding Intelligent Information Technology Co., Ltd. has the right to punish any violation of relevant laws and regulations or the provisions of this Agreement based on reasonable judgment, take appropriate legal actions against any user who violates the law and regulations, and preserve relevant information and report to the relevant departments in accordance with laws and regulations. Users shall bear all legal responsibilities arising therefrom alone.
8.4.3 You understand and agree that you shall be solely responsible for any claims, demands or losses asserted by a third party resulting from or arising from your violation of the provisions of this Agreement or the relevant terms of service; you shall also compensate Shenzhen Dingding Intelligent Information Technology Co., Ltd. for any losses suffered as a result.

9.1 Shenzhen Dingding Intelligent Information Technology Co., Ltd. is the intellectual property rights holder of the Software. All copyrights, trademarks, patents, trade secrets and other intellectual property rights of the Software, as well as all information content related to the Software (including but not limited to text, pictures, audio, video, graphics, interface design, layout framework, relevant data or electronic documents, etc.) are protected by the laws and regulations of the People's Republic of China and relevant international treaties. Shenzhen Dingding Intelligent Information Technology Co., Ltd. enjoys the above intellectual property rights, except for the rights that the relevant rights holders should enjoy in accordance with the law.

9.2 Without the written consent of Shenzhen Dingding Intelligent Information Technology Co., Ltd. or the relevant rights holder, you may not implement, use or transfer the above intellectual property rights by yourself or authorize any third party to implement, use or transfer the above intellectual property rights for any commercial or non-commercial purpose.

10.1 You understand and agree that this software, like most Internet software, may be affected by a variety of factors, including but not limited to user reasons, network service quality, social environment, etc.; it may also be affected by various security issues, including but not limited to others illegally using user information to carry out real-life harassment; other software downloaded and installed by users or other websites visited by users may contain viruses, Trojans or other malicious programs, threatening the information and data security of your terminal device, and then affecting the normal use of this software, etc. Therefore, you should strengthen your awareness of information security and personal information protection, and pay attention to password protection to avoid losses.

10.2 You can’t create, publish, use or disseminate malicious programs that are used to steal the accounts of Dingding Smart Application account and other people's personal information.

10.3 Maintaining the security and normal use of the software is the joint responsibility of Shenzhen Dingding Intelligent Information Technology Co., Ltd. and you. Shenzhen Dingding Intelligent Information Technology Co., Ltd. will reasonably and prudently take necessary technical measures in accordance with industry standards to protect the information and data security of your terminal equipment, but you acknowledge and agree that Shenzhen Dingding Intelligent Information Technology Co., Ltd. can’t provide complete guarantee in this regard.

10.4 Under no circumstances should you trust online information that asks for loans, passwords, or other financial information. If financial operations are involved, please verify the identity of the other party first, and always pay attention to Shenzhen Dingding Intelligent Information Technology Co., Ltd.'s tips on preventing fraud.

11.1 This software may use third-party software or technology (including open source code and public domain code that may be used by this software, etc., the same below), and such use has been legally authorized.

11.2 If this software uses third-party software or technology, Shenzhen Dingding Intelligent Information Technology Co., Ltd. Will in accordance with relevant laws and regulations or agreements, display the relevant agreements or other documents in the form of annexes to this Agreement, packaging in a specific folder of this software installation package, etc. They may be expressed in the form of "Software License Agreement", "Authorization Agreement", "Open Source Code License" or other forms. The aforementioned relevant agreements or other documents displayed in various forms are an integral part of this Agreement and have the same legal effect as this Agreement. You should comply with these requirements. If you fail to comply with these requirements, the third party or state agency may file a lawsuit, impose a fine or take other sanctions against you, and require Shenzhen Dingding Intelligent Information Technology Co., Ltd. to provide assistance. You shall bear the legal responsibility.

11.3 Any disputes arising from third-party software or technology used in this software shall be resolved by the third party, and Shenzhen Dingding Intelligent Information Technology Co., Ltd. shall not bear any responsibility. Shenzhen Dingding Intelligent Information Technology Co., Ltd. does not provide customer service support for third-party software or technology. If you need support, please contact the third party directly.

12.1 Your use of this software is deemed that you have read and agreed to be bound by this Agreement. Shenzhen Dingding Intelligent Information Technology Co., Ltd. has the right to modify the terms of this Agreement when necessary. You can check the relevant terms of the Agreement in the latest version of this software. If you continue to use this software after the terms of this Agreement are changed, it is deemed that you have accepted the modified agreement. If you do not accept the modified agreement, you should stop using this software.

12.2 This Agreement is signed in Nanshan District, Shenzhen City, Guangdong Province, People’s Republic of China.

12.3 The formation, effectiveness, performance, interpretation and dispute resolution of this Agreement shall be subject to the laws of mainland China (excluding conflict of laws).

12.4 If any dispute or controversy arises between you and Shenzhen Dingding Intelligent Information Technology Co., Ltd., it should first be resolved through friendly negotiation; if the negotiation fails, you agree to submit the dispute or controversy to the jurisdiction of the People's Court with jurisdiction over the place where this Agreement is signed.

12.5 The titles of all clauses in this Agreement are for reading convenience only and have no actual meaning in themselves and can’t be used as the basis for interpreting the meaning of this Agreement.

12.6 If any provision of this Agreement is invalid or unenforceable for any reason, the remaining provisions shall remain valid and binding upon both parties.
